MEMBERSHIP TERMS AND CONDITIONS

These terms and conditions (the Terms) govern all memberships of House of Champions (the House) operated by Brand Champions at the Premises. By signing the Order Form, the Contracting Party and (where different) the Member each agree to be bound by these Terms, the applicable Tier Schedule, the House Rules and (where applicable) the Shared Membership Addendum. Together those documents form the entire agreement between HOC, the Contracting Party and the Member.

1 DEFINITIONS

1.1 In these Terms the following words have the meanings set out below.

Collective Member: a Member admitted to the Collective tier by invitation of HOC.

Contracting Party: the person or entity that enters into these Terms and is responsible for payment of the Membership Fee. Where the Member is contracting in their own name (including as a sole trader or self-employed individual), the Contracting Party and the Member are the same person. Where a company or other business entity is entering these Terms on behalf of the named Member, the Contracting Party is that company or business entity.

Guest: a visitor brought to the House by a Member under clause 6.

Guest Access Method: HOC's current system for granting guest access to the Premises, as notified from time to time.

House: the workspace, community and facilities known as House of Champions at the Premises.

House Rules: the rules and standards of conduct applicable to all Members and guests, as published and updated by HOC from time to time.

HOC: The Brand Champions Limited (a company registered in Jersey, company number: 133709 and registered office: 9 Bond Street, St. Helier, JE2 3NP, Jersey), the operator of House of Champions.

Member: the named individual to whom the membership is personal, as identified on the Order Form. The Member is the person who holds access rights and is bound by the conduct obligations in these Terms.

Membership: the personal right of the named Member to access and use the House under these Terms and the Tier Schedule.

Membership Fee: the monthly fee for the Member's Tier as set out in the Order Form, payable by the Contracting Party.

Order Form: the membership order form signed by the Contracting Party and (where different) countersigned by the Member.

Premises: 3 St Andrews Place, Charing Cross, St Helier, Jersey JE2 3RP.

Shared Membership Addendum: the addendum signed by two Studio members under clause 3.5.

Term: the duration of the Membership as set out in clause 4.

Tier: the membership tier selected by the Member: Atelier, Studio, House or Collective.

Tier Schedule: the schedule setting out the current inclusions and rates for the Member's Tier, updatable by HOC under clause 3.2.

2 MEMBERSHIP AND APPLICATION

2.1 Membership is a personal licence granted to the named Member to access and use the House. It does not create a tenancy, lease or any exclusive right to occupy any specific space within the House.

2.2 An application for membership does not guarantee acceptance. HOC may decline any application at any tier without giving reasons.

2.3 All membership applications must be submitted via the sign-up process set out by HOC. Studio and House tier applications are additionally subject to approval by HOC before membership is confirmed. The Collective tier is invite-only. No Member may access the House at any tier before their membership has been confirmed by HOC and the first Membership Fee received.

2.4 Membership is confirmed only when HOC has received the signed Order Form from the Contracting Party and the first Membership Fee payment.

2.5 Personal to named Member. Membership is personal to the named Member identified on the Order Form. It is non-transferable and may not be assigned, shared or used by any other individual, employee or representative. Where two individuals share a Studio membership under clause 3.5, each holds a separate personal membership in their own name.

2.6 Non-portability where a company is the Contracting Party. Where the Contracting Party is a company or other business entity, the membership is personal to the named Member and does not transfer to any other individual in any circumstances, including where the named Member ceases to be employed by, associated with or otherwise connected to the Contracting Party. In that event: (a) the Contracting Party's obligation to pay the Membership Fee continues for the remainder of the then-current Term; (b) HOC is not obliged to grant access to any replacement individual under that membership; and (c) the Contracting Party may apply for a new membership for a different named individual, subject to HOC's standard sign-up and approval process and the completion of a new Order Form.

2.7 Business declaration. The Contracting Party confirms that: (a) the named Member is aged 18 or over; (b) the signatory is authorised to enter into this agreement on behalf of the Contracting Party; (c) the membership is being obtained wholly or mainly for the purposes of a business, trade or profession, and not as a consumer; (d) where the Contracting Party is a company or business entity, it acknowledges that the membership is personal to the named Member only and may not be used by any other employee, director or representative; and (e) the statutory rights available to consumers under applicable law do not apply to this agreement.

2.8 Members may not use the Premises address as a registered company address or for any official filing or regulatory purpose.

3 TIERS, INCLUSIONS AND UPDATES

3.1 The Member's access rights, facilities and inclusions are set out in the Tier Schedule and the House Rules. The Tier Schedule and House Rules form part of the agreement between HOC, the Contracting Party and the Member.

3.2 Operational updates. The Tier Schedule and the House Rules are living documents. HOC may update them - including Honesty Bar credit allocations, booking allowances, room rates, event access, operational rules and any other inclusions or benefits beyond core workspace access - at any time on reasonable written notice. The fundamental service provided under these Terms is access to the House at the Member's Tier. Changes to operational inclusions and benefits do not give rise to a right to cancel or a claim that HOC is in breach of these Terms.

3.3 Core access changes. Where HOC proposes a change that would remove or fundamentally alter the core workspace access available at a Member's Tier, HOC will give at least 30 days' written notice. In that event only, the Contracting Party on a fixed minimum term may cancel without liability for any remaining term by giving written notice within 14 days of HOC's notice.

3.4 Honesty Bar credits. Where a Tier includes Honesty Bar credits, the current allocation is set out in the Tier Schedule. Credits refresh monthly and do not roll over. HOC may charge the Contracting Party for any usage not properly logged. HOC may vary the credit system, categories or allocation by updating the Tier Schedule under clause 3.2.

3.5 Collective tier contributions. Collective Members must meet the community contribution requirements set out in the Tier Schedule. HOC may update those requirements on reasonable written notice.

4 SHARED STUDIO MEMBERSHIPS

4.1 Studio memberships may be shared between two named individuals (each a Shared Member). Each holds a separate personal membership and each has a separate Contracting Party (which may be the individual themselves or their respective companies). Both must sign the Shared Membership Addendum and be approved by HOC before the arrangement commences.

4.2 Shared Members may not occupy the workspace simultaneously.

4.3 HOC will invoice each Shared Member's Contracting Party separately at the agreed split rate. Each Contracting Party is individually responsible for payment of their own invoice. HOC is not responsible for any internal payment arrangements between the Shared Members or their Contracting Parties.

4.4 Cancellation by one Shared Member (or their Contracting Party) does not cancel the other's Membership. The remaining Member may continue at the standard Studio rate or apply to add a replacement Shared Member, subject to HOC's approval and a new Shared Membership Addendum.

4.5 Each Shared Member is individually bound by the conduct obligations in these Terms. Each Contracting Party is individually bound by the payment obligations. Breach by one Shared Member does not automatically affect the other, unless the breach involves both.

5 TERM AND RENEWAL

5.1 The minimum term (if any) for each Tier is set out in the Tier Schedule.

5.2 Where no minimum term applies, membership runs on a monthly rolling basis from the confirmed start date.

5.3 Membership auto-renews at the end of each Term for a further period equal to the initial Term, unless the Contracting Party gives written notice of cancellation to hello@ourhouseofchampions.com at least 30 days before the end of the then-current Term. For example, a 12-month House membership will renew for a further 12 months unless notice is given in time.

5.4 HOC may increase the Membership Fee on renewal by giving the Contracting Party at least 30 days' written notice before the renewal date. Continued use of the House after the renewal date constitutes the Contracting Party's acceptance of the new fee.

5.5 If the Contracting Party cancels before the end of any applicable minimum term, the Contracting Party remains liable for the Membership Fee for the remainder of that term, unless HOC agrees otherwise in writing or clause 3.3 applies.

5.6 HOC's right not to renew. HOC may elect not to renew a Membership at the end of any Term by giving the Contracting Party at least 30 days' written notice before the end of the then-current Term. HOC is not required to give reasons for a decision not to renew. Where HOC exercises this right, the Contracting Party's liability for fees ceases at the end of the then-current Term.

6 FEES AND PAYMENT

6.1 The Membership Fee is payable by the Contracting Party monthly in advance on the first day of each month (or the first working day thereafter).

6.2 Payment is by the method set out on the Order Form. HOC does not accept cash.

6.3 If the Membership Fee is not received by the due date, HOC may suspend the Member's access to the House until payment is received in full. HOC may charge the Contracting Party interest on overdue amounts at 8% above the Bank of England base rate from the due date to the date of payment.

6.4 Any additional services used beyond the Member's Tier inclusions will be charged to the Contracting Party at the rates set out in the current Tier Schedule and invoiced monthly.

6.5 Membership Fees are non-refundable except where HOC terminates the Membership other than for the Contracting Party's or Member's breach.

6.6 Non-Jersey Contracting Parties. Where the Contracting Party's principal place of business or residence is outside Jersey, HOC may as a condition of confirming the Membership require a pre-authorised payment method, a deposit of up to one month's Membership Fee, or both. Any deposit will be held by HOC and applied against outstanding sums on termination, with any balance returned to the Contracting Party within 30 days of termination.

7 ACCESS AND USE OF THE HOUSE

7.1 Members may access the House during HOC's published opening hours, available at ourhouseofchampions.com, or the members' portal. HOC may vary opening hours at any time on reasonable notice.

7.2 HOC will provide the Member with a personal access code, key card or other access device as applicable from time to time. Access devices are personal to the named Member and must not be shared, except via the Guest Access Method in clause 8.3.

7.3 Membership does not give the Member any exclusive right to any specific desk, chair or space. HOC may reconfigure the layout of the House and update its facilities and technology at any time.

7.4 Desk access is subject to availability. HOC will use reasonable endeavours to ensure adequate desk capacity for Members but does not guarantee that a specific desk or any desk will be available on any particular day. Unavailability of a desk on a given day does not constitute a breach of these Terms.

7.5 Members must not bring to the Premises any equipment or materials that may be hazardous, obstructive or unsafe. Members are responsible for the electrical safety of their own equipment.

7.6 Temporary closure. HOC may close or restrict access to all or part of the House temporarily for any reason, including planned maintenance, private events, emergencies, or circumstances beyond HOC's reasonable control (including fire, flood, power failure, or other force majeure events). HOC will give as much notice as is reasonably practicable in the circumstances, which in the case of an emergency or force majeure event may be no notice at all. Temporary closure does not give rise to any right to a reduction in fees or a refund, unless the closure extends beyond 14 consecutive days, in which case HOC will apply a pro-rata reduction for the period of closure beyond that.

8 GUESTS

8.1 Members may bring guests in accordance with their Tier inclusions and the House Rules. Members are entirely responsible for the conduct and behaviour of their guests at all times.

8.2 Guests do not sign separate membership forms. By bringing a guest to the House, the Member agrees to be responsible for that guest's compliance with these Terms and the House Rules.

8.3 Guest access is provided by HOC's current Guest Access Method, as notified from time to time. The Member must request guest access from HOC in advance. HOC may update the Guest Access Method on reasonable notice.

8.4 Members must not leave guests unaccompanied in the House without prior agreement from HOC.

8.5 Visitors without a Member sponsor may purchase a day pass at the current rate, subject to availability. Day pass rates are set out on HOC's website and may be updated from time to time.

8.6 Under-18s are not permitted in the House without prior written approval from HOC.

9 HOUSE RULES

9.1 All Members and their guests must comply with the House Rules at all times. The House Rules set out the standards of conduct expected within the House, including requirements relating to the Honesty Bar, meeting room use, noise, video calls, and kitchen and communal areas.

9.2 The House Rules are a separate, updatable document incorporated into these Terms by reference. The current House Rules are available from HOC on request and via the members' portal.

9.3 Updating the House Rules. HOC may update the House Rules at any time. Updates required immediately for reasons of safety, legal compliance or licensing will take effect on notice to Members. All other updates will take effect on reasonable notice, not ordinarily exceeding 7 days. Continued use of the House after notice of an update constitutes acceptance of the revised House Rules.

9.4 Serious or repeated breach of the House Rules may result in suspension or termination of Membership under clause 13.

9.5 Smoking and vaping are not permitted inside the House or within St Andrews Court. Members and guests must smoke or vape outside the courtyard.

10 HONESTY BAR

10.1 The Honesty Bar is available to Members and their guests during opening hours, subject to the House Rules. The House Rules set out the operational requirements for Honesty Bar use, including logging, measures and alcohol service standards. HOC may update those requirements by updating the House Rules under clause 9.3.

10.2 Members are responsible for ensuring that alcohol is not served to anyone under the age of 18.

10.3 HOC may charge the Contracting Party for any Honesty Bar usage not properly logged in accordance with the House Rules.

10.4 HOC may withdraw the Member's access to the Honesty Bar for any misuse of the system or repeated failure to log purchases correctly.

10.5 Monthly Honesty Bar credits (where included in a Tier) expire at the end of each calendar month and do not carry over. The current credit allocation is set out in the Tier Schedule and may be updated under clause 3.2.

11 DATA PROTECTION AND PRIVACY

11.1 Lawful basis for processing. HOC processes personal data on the following lawful bases:

11.1.1 Performance of contract - processing necessary to administer the Membership, issue invoices, manage access and communicate about the Membership. This does not require consent and cannot be declined without affecting HOC's ability to provide the Membership.

11.1.2 Legitimate interests - processing for security (including CCTV), fraud prevention and the operational running of the House, where this is reasonable and does not override the Member's or Contracting Party's interests or rights.

11.1.3 Consent - where HOC wishes to send marketing communications, HOC will rely on the Member's consent given at sign-up or subsequently. Consent may be withdrawn at any time by emailing hello@ourhouseofchampions.com or by unsubscribing from any marketing email.

11.2 HOC processes personal data in accordance with its privacy policy, available at ourhouseofchampions.com.

11.3 Marketing communications. Where the Member has opted in, HOC may send updates about House of Champions events, offers and news, and communications from HOC partners where the Member has separately consented. HOC will not pass the Member's data to third-party partners for their own marketing without specific consent.

11.4 CCTV is in operation at the Premises on the basis of HOC's legitimate interests in security. Footage is retained for the period set out in HOC's privacy policy. CCTV signage is displayed at the Premises.

11.5 HOC may use a Member's name and business in community communications and on social media where the Member has consented at sign-up. This consent may be withdrawn at any time by notifying hello@ourhouseofchampions.com.

12 INTELLECTUAL PROPERTY AND BRANDING

12.1 Members must not use the House of Champions name, logo, brand or any identifying feature of HOC without HOC's prior written consent.

12.2 Photography and filming for personal use is welcome in the House. Members and guests must obtain the consent of anyone they photograph or film. Commercial photography or filming requires prior written agreement with HOC.

12.3 Nothing in these Terms transfers any intellectual property rights from HOC to the Member, the Contracting Party, or from either of them to HOC.

13 SUSPENSION AND TERMINATION

13.1 Suspension pending investigation. HOC may suspend a Member's access to the House immediately and without prior notice where HOC reasonably considers that the Member or their guest may have committed a serious breach of these Terms or the House Rules, pending investigation. HOC will notify the Member and the Contracting Party of the suspension and conduct any investigation promptly. If the investigation concludes that no serious breach occurred, access will be reinstated. Suspension pending investigation does not of itself constitute termination.

13.2 Immediate termination without notice. HOC may terminate a Membership immediately without prior notice where:

13.2.1 the Member commits a serious breach of these Terms or the House Rules;

13.2.2 the Member's or their guest's conduct is violent, abusive, discriminatory, or brings HOC into disrepute;

13.2.3 the Contracting Party becomes insolvent, enters liquidation, or is unable to pay its debts as they fall due; or

13.2.4 the Member becomes insolvent or is unable to pay their personal debts as they fall due.

13.3 Termination on notice. HOC may terminate a Membership on 14 days' written notice where:

13.3.1 the Contracting Party fails to pay any Membership Fee and the amount remains unpaid for more than 7 days after the due date; or

13.3.2 the Member or the Contracting Party repeatedly breaches these Terms or the House Rules.

13.4 On termination, the Member's access to the House will be deactivated immediately. The Member must promptly remove all personal property from the Premises. HOC is not responsible for any personal property left at the Premises after termination.

13.5 Termination does not affect any accrued rights or obligations of either party. In particular, termination for breach does not release the Contracting Party from liability for any Membership Fees due for the remainder of the then-current Term.

13.6 HOC’s decision to suspend or terminate any membership is final.

14 LIABILITY

14.1 Nothing in these Terms limits or excludes HOC's liability for death or personal injury caused by HOC's negligence or fraud.

14.2 Subject to clause 14.1, HOC's total liability to the Contracting Party or the Member under or in connection with these Terms shall not exceed the total Membership Fees paid in the 12 months immediately before the event giving rise to the claim.

14.3 Subject to clause 14.1, HOC shall not be liable, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any::

14.3.1 indirect or consequential loss,

14.3.2 loss of profit,

14.3.3 loss of business or business opportunity,

14.3.4 loss of data;

14.3.5 loss of goodwill or reputation; or

14.3.6 loss of anticipated savings,

in each case whether or not such loss was foreseeable or HOC had been advised of the possibility of such loss.

14.4 HOC does not accept liability for loss or damage to Members' or guests' personal property at the Premises. Members bring personal items to the House at their own risk.

14.5 The Member agrees to indemnify HOC against any claims, costs or losses arising from the Member's or their guests' breach of these Terms or conduct at the House. The Contracting Party agrees to indemnify HOC against any claims, costs or losses arising from the Contracting Party's breach of the payment obligations in these Terms.

14.6 HOC is not liable for any failure to provide access to the House as a result of circumstances beyond HOC's reasonable control, including force majeure events, power failure, building closure, fire or flood.

15 GENERAL

15.1 Entire agreement. These Terms, the Order Form, the Tier Schedule, the House Rules and (where applicable) the Shared Membership Addendum form the entire agreement between HOC, the Contracting Party and the Member and supersede all previous agreements and representations.

15.2 Variation. HOC may update these Terms on 30 days' written notice to the Contracting Party. Continued use of the House after that period constitutes acceptance. The Tier Schedule and House Rules may be updated under the separate procedures in clauses 3.2 and 9.3.

15.3 No third party rights. A person who is not a party to these Terms has no right to enforce any of their terms.

15.4 Severance. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.

15.5 Notices. Written notices under these Terms may be sent by email to hello@ourhouseofchampions.com (for HOC) or to the Contracting Party's registered email address as set out on the Order Form. Notices sent by email are deemed received on transmission. Where the Member and the Contracting Party are different persons, HOC may direct notices to the Contracting Party and the Member as appropriate to the subject matter.

15.6 Assignment. HOC may assign or transfer its rights and obligations under these Terms. Neither the Contracting Party nor the Member may do so without HOC's prior written consent.

15.7 Governing law and jurisdiction. These Terms are governed by Jersey law.

15.7.1 The Contracting Party and the Member each agree to bring any claim or proceedings against HOC exclusively in the courts of Jersey.

15.7.2 HOC may bring proceedings against the Contracting Party in the courts of Jersey or, at HOC's election, in the courts of any jurisdiction in which the Contracting Party is resident, domiciled or has a principal place of business. The Contracting Party irrevocably submits to the jurisdiction of any such courts for this purpose.

15.7.3 HOC may bring proceedings against the Member in the courts of Jersey or, at HOC's election, in the courts of any jurisdiction in which the Member is resident or domiciled. The Member irrevocably submits to the jurisdiction of any such courts for this purpose.

15.7.4 Nothing in this clause limits HOC's right to seek emergency or interim relief in any jurisdiction.
